Terms of Service

1. Service scope & definitions

These Terms govern your use of udyamregistration.webthropic.com (the "Website"), operated by Webthropic Consulting ("we", "us", "our"), a proprietorship registered in Noida, Uttar Pradesh, India (Udyam Reg: UDYAM-UP-08-0012548; GSTIN: 09AABCU9603R1Z2).

We offer professional consultancy services to help MSMEs (Micro, Small, and Medium Enterprises) register on, update, or download certificates from the official Udyam Registration portal at udyamregistration.gov.in ("the Government Portal") operated by the Ministry of MSME, Government of India.

"Service" refers to any consultancy engagement, including but not limited to: new Udyam registration filing, certificate update filing, certificate re-download, and print delivery.

2. Eligibility to use our service

You may use our Service if you are:

• At least 18 years of age;
• A proprietor, partner, director, or authorised signatory of an enterprise that qualifies as a Micro, Small, or Medium Enterprise under the MSME Development Act, 2006 (as amended);
• Authorised to share the Aadhaar and PAN details of the person on whose behalf the filing is being made;
• Legally permitted to enter into a binding contract under the Indian Contract Act, 1872.

3. Your obligations as a user

By using our Service, you agree to:

• Provide accurate and complete information (name, mobile, email, Aadhaar, PAN, existing Udyam number, and the details you wish to update);
• Ensure your Aadhaar is linked to the mobile number you provide, so that OTP verification can be completed;
• Not use our Service for fraudulent purposes, misrepresentation, impersonation, or any activity that violates Indian law;
• Not attempt to circumvent, hack, or interfere with our Website or systems;
• Respond promptly to reasonable requests for clarification or additional information from our team.

You acknowledge that any errors, delays, or rejections arising from inaccurate information you have provided are your responsibility, and we are not liable for the same.

4. Fees & payment

Our consultancy fee is ₹499 (Indian Rupees Four Hundred Ninety-Nine) for a single Udyam certificate update filing, or as separately quoted for other services on the Website.

This fee is a professional service charge and does not include any government fee. The Government Portal charges no fee for Udyam registration or updates. If you are comfortable navigating the portal yourself, you are not required to use our Service.

Payments are collected via PayU India, a certified payment aggregator, in Indian Rupees only. GST at applicable rates is included in the quoted fee.

Fees are payable in advance. Filing on your behalf will only begin after payment is received and confirmed.

5. Government-affiliation disclaimer

We are engaged by you as your consultant to file applications on your behalf using publicly-available government tools. The certificate you receive is issued by the Government of India, not by us. All statutory rights and remedies with respect to the certificate remain with the Government.

6. Limitation of liability

To the maximum extent permitted by law:

• Our total liability to you under any claim shall not exceed the fees you have paid us in the preceding 12 months;
• We are not liable for indirect, consequential, incidental, or punitive damages of any kind, including but not limited to loss of business, loss of profits, loss of loan opportunities, or damage arising from delays in issuance of certificates by the Government Portal;
• We do not guarantee any specific loan, subsidy, tender qualification, or other benefit arising from Udyam registration. Such benefits are governed by third parties (banks, government schemes, etc.) and are outside our control;
• We are not responsible for delays caused by government portal downtime, Aadhaar authentication service outages, telecom carrier OTP failures, or force majeure events.

7. Intellectual property

The Website design, brand marks, text content, and layout are the intellectual property of Webthropic Consulting and are protected under the Copyright Act, 1957. You may not reproduce, republish, or resell any portion without our prior written consent.

The Udyam Registration mark, forms, and certificate template are the property of the Government of India and are used here solely for the purpose of accurately describing our consultancy service.

8. Termination

We reserve the right to refuse or cancel any Service at our discretion, including in cases where:

• The information provided appears to be fraudulent or misleading;
• We suspect the Service is being used for money laundering or other unlawful purpose;
• You engage in abusive conduct towards our staff.

In such cases, we will refund any fees paid, minus a reasonable administrative charge, in accordance with our Refund Policy.

9. Governing law & jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or from the use of our Service shall be subject to the exclusive jurisdiction of the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh, India.

Before initiating any legal proceedings, both parties agree to first attempt resolution through good-faith negotiation, followed if necessary by mediation.

10. Changes to these terms

We may revise these Terms from time to time. The "Last updated" date at the top will reflect the most recent revision. Continued use of the Service after any revision constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically. For material changes, we will attempt to notify registered users by email.
